EES User Agreement Summary
Please read these terms carefully before using B2B HUB LLC (refer to as EES). By using EES, you agree to these terms. If you do not agree, do not use EES.
EES may update these terms at any time; your continued use means you accept the updated terms.
1. Your Responsibility
You must be of legal age to enter into contracts and use EES.
You are responsible for maintaining the confidentiality of your account information and for all activities under your account.
You confirm you are authorized to use EES services for your company.
2. Ownership
EES and its content, including this agreement, are owned by B2B HUB LLC and/or its suppliers.
3. Using EES
You may only use EES for legitimate reservations and purchases. Any speculative, false, or fraudulent use is prohibited.
EES can terminate or restrict your access without notice or liability if you misuse the service.
EES acts as an intermediary, arranging pre-paid room rates with Third-Party Suppliers on your behalf.
Pricing: Rates include the pre-negotiated room rate and a facilitation fee for EES's services.
Payment: You authorize EES to charge your credit card for the full accommodation price upon submitting your reservation request.
Taxes: EES does not collect taxes for remittance. "Tax recovery charges" are EES's recovery of estimated taxes paid to Third-Party Suppliers. Actual taxes paid by EES to suppliers may vary from the recovery charge. EES is not a co-vendor with suppliers.
EES retains service fees as compensation, which may vary.
4. Amendment Policy
EES generally allows changes to reservations without penalty to accommodate business needs.
Changing dates may alter the average nightly price. Some Third-Party Suppliers may charge additional fees for changes.
Penalties for Excessive Amendments:
Finalize your rooming list 21 days before the first check-in date.
If more than 45% of your original accommodation is changed or canceled, you agree to a penalty of at least one night per room, plus any Third-Party Supplier penalties.
EES reserves the right to waive this policy, especially for normal business travel patterns, and applies it primarily to prevent abuse of customer service.
5. Changes and Cancellations
Due to EES's competitive pricing model (reserving and pre-paying rooms), any reductions from changes or cancellations will be applied as credit for your next booking.
Credit expires if not used within 180 days.
Refunds due to changes or cancellations can be requested and processed subject to 5% service fee.
EES does not charge fees for processing changes, but you will be responsible for any penalties imposed by hotels or Third-Party Suppliers, with prior notification.
EES will try its best to accommodate changes but cannot guarantee them.
Changes to dates, room type, or name for bookings with special offers may result in re-pricing.
EES cannot guarantee change requests within 72 hours of check-in.
No credit is provided for early check-outs or no-shows.
6. Currency Conversion
Currency rates are for guidance only, based on public sources, and are not guaranteed to be accurate or updated daily.
All transactions are billed in U.S. Dollars ($US), excluding VAT, taxes, hotel surcharges, and service fees.
Consult a qualified professional for financial decisions based on currency rates.
Important Disclaimers & Limitations
7. Exclusion of Warranties
EES and its Third-Party Suppliers provide accommodations "as is" and offer no warranties.
Accommodations are provided for your convenience, not as an endorsement of goods or services by EES or its suppliers.
You use such goods or services at your own risk.
EES does not warrant that travel to international destinations is advisable or risk-free and is not liable for damages from such travel.
EES can correct pricing errors (including typos, incorrect supplier info, currency miscalculations) and change or cancel pending reservations made under incorrect prices, even if confirmed or charged. Your sole remedy in such a case is to keep the reservation at the correct price or cancel without penalty.
8. Indemnification
You agree to defend and indemnify EES and its Third-Party Suppliers (and their owners, officers, directors, employees, and agents) against any claims or demands arising from:
Your breach of this User Agreement.
Your violation of any law or the rights of Third-Party Suppliers.
This agreement does not create a joint venture, partnership, or employment relationship between you and EES.
EES's performance is subject to existing laws and legal processes. This agreement does not limit EES's right to comply with legal requests related to your use.
Unless prohibited by law, any claim related to your use of EES must be brought within two (2) years from when the claim arose, or it will be waived.
If any part of this agreement is found invalid, the remaining provisions remain enforceable.
9. Dispute Resolution
This User Agreement is governed by the laws of the State of Wyoming, USA, without regard to conflict of laws principles.
EES encourages you to contact support@eesrooms.com first to resolve any disputes.
Submission to Jurisdiction
Unless mutually agreed otherwise or subject to mandatory arbitration, any claims must be brought in the state or federal courts located in Casper, Wyoming, USA.
Any claim must be brought within two (2) years from when it arose or accrued.
Mandatory Arbitration (for claims under $10,000 USD)
Claims where the total amount in controversy is less than $10,000 USD will be resolved via binding, non-appearance-based arbitration.
Rules for arbitration:
Conducted by telephone, online, or written submissions, chosen by the initiating party.
Conducted by an approved arbitrator in Casper, Wyoming.
No personal appearance by parties or witnesses unless mutually agreed.
Arbitrator may only award relief for the individual party seeking it.
The arbitrator cannot consolidate claims or preside over class proceedings (unless mutually agreed). If this clause is unenforceable, the entire Mandatory Arbitration provision is void.
By agreeing, you and EES waive the right to a jury trial or to participate in a class action for claims covered by this arbitration provision.
10. Attorney's Fees
If EES takes action to enforce this agreement and the claim is not resolved by mandatory arbitration, EES is entitled to recover reasonable attorney's fees and litigation costs from you. EES may charge these amounts to your credit or debit card.
11. Injunctive Relief
You acknowledge that violating this agreement would cause irreparable damage to EES. Therefore, EES is entitled to seek an injunction from a court to prevent such violations without needing to post a bond or security.
12. Privacy
EES will protect your privacy. Your information will not be sold, shared, or distributed.
13. Additional Terms & Conditions
Additional terms from EES and/or Third-Party Suppliers may apply to your reservation.
You agree to abide by these additional terms. Violating them may lead to cancellation of your reservation, denial of access, and forfeiture of payments. EES may charge you for costs incurred due to such violations.
Some Third-Party Suppliers may require you to sign additional waivers or addendums.
14. Miscellaneous
EES and you operate as independent contractors; no partnership, joint venture, or employment relationship exists.
You cannot assign or delegate your rights or obligations under this agreement.
If any provision is found unenforceable, it will be enforced to the fullest extent possible, and the remaining provisions will remain valid.
Headings in this agreement are for convenience only and do not limit the terms.
This User Agreement, including any referenced terms, constitutes the entire agreement between us and supersedes all prior agreements. It can only be amended in writing or by updates on the EES site.
